This End User License Agreement (“Agreement”) is a binding agreement between you (“End User” or “you”) and Zenora Health, LLC, a New Jersey corporation (“we” or “Zenora Health”). This Agreement governs your use of Zenora Health’s cloud-based, HIPAA-compliant software (including all related user documentation provided to you, the “Application”). The Application is licensed, not sold, to you and/or your organization. Collectively, the database architectures, database, algorithms, mobile applications, and websites comprise the system hereinafter referred to as the “Platform”.
BY USING THE APPLICATION, YOU:
(a) ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THIS AGREEMENT;
(b) REPRESENT THAT YOU ARE 18 YEARS OF AGE OR OLDER / OF LEGAL AGE TO ENTER INTO A BINDING AGREEMENT;
(c) ACCEPT THIS AGREEMENT AND AGREE THAT YOU ARE LEGALLY BOUND BY ITS TERMS.
IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE APPLICATION.
This Application is only available for individuals aged 18 years or older. If you are not at least 18 years old, or the legal age required to form a binding contract in your jurisdiction, you may not use the Application without parental or legal guardian approval.
Subject to the terms of this Agreement, Zenora Health grants you a limited, non-exclusive, non-transferable license to use the Application for your business use on a device owned or controlled by you, strictly in accordance with this Agreement.
You shall not:
(a) copy the Application except as expressly permitted;
(b) modify, translate, adapt, or create derivative works;
(c) reverse engineer, decompile, or attempt to access source code;
(d) remove or alter intellectual property notices;
(e) rent, sell, sublicense, or distribute the Application to third parties;
(f) bypass or disable security or rights-management features.
The Application is intended to securely transmit tasks, comments, and patient context between medical providers. You agree to use the Application only for its intended purpose and not for any prohibited use, including impersonation, misuse of accounts, harm to minors, spam, solicitation, harassment, or unauthorized data use.
You acknowledge that the Application is licensed, not sold. Zenora Health retains all right, title, and interest in the Application, including all intellectual property rights, except as expressly granted under this Agreement.
When you use the Application, Zenora Health may collect information about your device and usage through automatic means. All Personal Information collected is governed by our Privacy Policy.
By accepting this Agreement, you authorize Zenora Health to collect, use, and disclose your Personal Information in accordance with the Privacy Policy.
You are solely responsible for the accuracy, legality, and authorization of all PHI uploaded to the Application. You must obtain all necessary patient consents and comply with applicable laws, including HIPAA. Certain sensitive health data requiring additional consent must not be uploaded without proper authorization.
Access to Organizations or Modules grants users access to PHI within those areas. Owners and administrators are solely responsible for granting access appropriately. Zenora Health is not responsible for unauthorized disclosure caused by improper access sharing.
Zenora Health may de-identify Personal Information and use it for lawful business purposes, including analytics and product improvement. You consent to such use and waive any claim to compensation.
The Application is intended for use only within the United States.
You are responsible for safeguarding your password. Zenora Health is not liable for unauthorized access resulting from your failure to protect login credentials.
You are responsible for all activity under your account and must not share or transfer access. Zenora Health may suspend or terminate accounts at its discretion.
Zenora Health may provide updates, enhancements, or modifications to the Application at its discretion. All updates are governed by this Agreement.
This Agreement remains in effect until terminated by you or Zenora Health. Upon termination, all rights to use the Application cease immediately.
THE APPLICATION IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. ZENORA HEALTH DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW.
TO THE FULLEST EXTENT PERMITTED BY LAW, ZENORA HEALTH SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR DAMAGES EXCEEDING THE AMOUNT PAID FOR THE APPLICATION.
You acknowledge and accept all risks related to the use of the Application, including communication delays, non-emergency use limitations, and reliance on information exchanged.
You agree to indemnify and hold harmless Zenora Health from any claims arising from your misuse of the Application or breach of this Agreement.
You agree to comply with all applicable U.S. export control laws.
The Application is commercial computer software and is licensed accordingly under applicable federal regulations.
If any provision is found unenforceable, the remaining provisions will remain in full force and effect.
This Agreement is governed by the laws of the State of New Jersey. Any disputes shall be resolved exclusively in New Jersey courts.
Any claim must be filed within one (1) year after the cause of action arises.
This Agreement and the Privacy Policy constitute the entire agreement between you and Zenora Health.
Failure to enforce any provision does not constitute a waiver of rights.
